Draft ContractSeptember 23, 2004 Aluminum Electric Attn: Contract Owner RE: Authorized COPALUM Product Installer Appointment Your firm ("Installer") is hereby appointed as a non-exclusive authorized COPALUM product installer. Certain matters are of high importance and warrant emphasis. It must be understood that old technology aluminum wiring can be unsafe. Tyco Electronics desires to create additional sales of COPALUM product for use in the retermination of aluminum wiring in single, multi-family and commercial structures throughout the domestic United States. In accepting the appointment as an authorized COPALUM product installer, you undertake serious responsibilities to locate and properly reterminate each connection wired with aluminum wire manufactured before 1972 ("old technology" aluminum wire) within the structure. Any deficiencies in your performance in this regard can result in danger to the occupants of the dwelling and liability for the installer. Installer represents that it is an electrical contractor and that it employs one or more licensed electricians. Installer further understands and agrees that COPALUM product will only be installed by persons who have been trained by Tyco Electronics. Training in the proper use of COPALUM product and COPALUM tooling is available for a training charge. In accepting this appointment the Installer further understands and agrees that it will take all necessary and appropriate steps to assure that its Electricians who install COPALUM product are Tyco Electronics-trained and continue to follow such instruction over time. Installer further agrees to assure that COPALUM product is installed only with the COPALUM tooling provided. The Consumer Products Safety Commission recognizes COPALUM termination products as the only acceptable Technology to permanently reterminate old technology aluminum wire. Therefore, Tyco Electronics and non-Tyco Electronics products must not be mixed. Tyco Electronics will ship COPALUM product only to Installers principal place of business. The basic term of this appointment is one year from the date hereof and will continue thereafter on a year-to-year basis unless terminated in writing by either party. Either party may terminate the appointment at any time, with or without cause, upon thirty days written notice to the other. If the arrangements outlined above and detailed in the attached Terms and Conditions for Appointment of Authorized COPALUM Installers (May 2002) are satisfactory, a copy of this letter must be signed by an authorized representative of Installer at the place indicated below and returned to the undersigned. IN SIGNING THIS LETTER INSTALLER ACKNOWLEDGES AND AGREES TO BE BOUND BY THE TERMS AND CONDITIONS FOR APPOINTMENT OF AUTHORIZED COPALUM TERMINATION INSTALLERS ATTACHED TO AND MADE A PART OF THIS LETTER AGREEMENT.
